SEASON'S BEANINGS GIVEAWAY - INSTAGRAM AND FACEBOOK SWEEPSTAKES

Sweepstakes featuring 3 giveaway opportunities begins on or after 12:00:01 AM ET on 12/18/2024 and ends at 11:59:59 PM ET on 12/20/2024. Limit one (1) entry per person. You will receive one (1) giveaway entry per post by following the directions presented with each giveaway opportunity including using your public Instagram or Facebook account to tag a human friend in the comments section (multiple comments do not create multiple entries) and proving the required comment. Three (3) total prizes will be awarded, one per giveaway. The prize packages will include a Bush’s Beans bean can ornament, wrapping paper, a “Beans” beanie, and a Baked Beans holiday sweater; a collection of 12 Bush’s Beans t-shirts; and one mystery pack featuring a variety of Bush’s Bean branded products. Total ARV of all prizes: $1,410.00 or ARV of all prizes will range from $105.00 to $450.00.  Odds of winning will depend upon the number of entries received. SWEEPSTAKES ARE IN NO WAY SPONSORED, ENDORSED OR ADMINISTERED BY, OR ASSOCIATED WITH, META.  YOU ARE PROVIDING YOUR INFORMATION TO BUSH BROTHERS & COMPANY AND NOT TO META.  BY ENTERING A SWEEPSTAKES, YOU AGREE TO RELEASE AND HOLD HARMLESS META FROM ANY AND ALL LIABILITY ASSOCIATED WITH THE SWEEPSTAKES.

OVERVIEW: Bush Brothers & Company ("Sponsor") conducts various sweepstakes (each a “Sweepstakes”) through its @bushsbeans Instagram webpage located at https://www.instagram.com/bushsbeans (the “Instagram Page”) and its Bush’s Beans Facebook webpage located at https://www.facebook.com/bushbeans. For each giveaway, Sponsor will provide the details and requirements for entry by posting an announcement on Sponsor’s Instagram and Facebook pages (the “Entry Announcement”). To be eligible to win the prize or prizes (the "Prize(s)") described in a particular Entry Announcement, you must follow the directions in that Entry Announcement and in these Sweepstakes Master Rules (the "Master Rules").  For each Sweepstakes, the applicable Entry Announcement together with these Master Rules will constitute the official rules (the "Official Rules").  In the event of a conflict between the applicable Entry Announcement and these Master Rules, the applicable Entry Announcement will control.

ELIGIBILITY: Unless otherwise stated in the applicable Entry Announcement, a Sweepstakes is open only to legal residents of the continental 50 United States and the District of Columbia, who are age 18 or older at the time of entry. Void in Puerto Rico, Guam, the U.S. Virgin Islands, outside the continental U.S. and the District of Columbia, and wherever else prohibited by law.  Employees of Sponsor and its respective subsidiaries, affiliates, advertising and promotion agencies, and the immediate family members (spouses, parents, children, and siblings and their spouses) of, and/or those living in the same household of each, are not eligible to enter. A Sweepstakes is subject to all applicable federal, state and local laws and regulations.

ENTRY PERIOD: A Sweepstakes begins and ends at the times stated in the Entry Announcement (the “Entry Period”).

HOW TO ENTER: Internet access is required.  At its discretion, Sponsor may post an Entry Announcement on Sponsor’s Instagram Page or Facebook Page, which will include instructions that you must follow in order to submit a valid entry.  All requirements listed in the applicable Entry Announcement and these Master Rules must be completed in full for an entry to be considered valid. Any attempted form of entry other than as described in the applicable Entry Announcement and herein is void. Entries in violation of the Official Rules, as determined by Sponsor in its sole discretion, will be disqualified.

Limit: Unless otherwise stated in the applicable Entry Announcement, there is a limit of one (1) entry per giveaway per person.  Multiple entrants may not share the same Instagram account or Facebook account.  Any attempt by an entrant to obtain more than the stated number of entries by using multiple/different identities, Instagram  or Facebook accounts, registrations and logins, or any other methods will void such entries, and that entrant may be disqualified, as determined by Sponsor in its sole discretion.  Entries that are late, incomplete, misdirected, illegible or corrupted are void and will not be accepted or eligible to win.  All entries become property of the Sponsor and will not be returned.  Any entry that includes illegal, false, or fraudulent information, obscenities, objectionable material, or which defames or invades the publicity or privacy rights of any person, living or deceased, or otherwise infringes upon any third party’s personal or proprietary rights, publicity rights, as determined by Sponsor in its sole discretion, will be disqualified.

If you enter a Sweepstakes, except where prohibited by law, you hereby irrevocably consent to Sponsor’s use of any text, photo, and/or video in the entry for purposes of advertising, promotion and publicity (including online posting) in any and all media now or hereafter known, throughout the world, in perpetuity, without additional compensation, notification or permission. If you participate in a Sweepstakes via your wireless mobile device, message and data rates may apply. PRIZES/APPROXIMATE RETAIL VALUE (“ARV”)/ODDS: The Prize(s) to be awarded in a Sweepstakes and the ARV of that/those Prize(s) will be identified in the applicable Entry Announcement.  There is a limit of one (1) Prize per person per Sweepstakes.  The odds of winning a Sweepstakes will depend upon the total number of eligible entries received.

WINNER SELECTION:  The winner(s) for a Sweepstakes will be selected in a random drawing on or about the date specified in the applicable Entry Announcement from among all eligible entries received by Sponsor during the respective Entry Period. In the event that there are no entries during the respective Entry Period, there will be no drawing, and the applicable Prize(s) will not be awarded.

WINNER NOTIFICATION & VERIFICATION:  Unless otherwise stated in the applicable Entry Announcement, the winner of a Sweepstakes will be notified via Instagram or Facebook direct message (the “Winner Notification”).  The winner must acknowledge receipt of the Winner Notification by Instagram or Facebook direct message within three (3) business days after the Winner Notification is sent.  Sponsor may verify a winner’s eligibility and compliance with the Official Rules to Sponsor’s satisfaction and may, unless prohibited by law, require a winner to execute and deliver to Sponsor, within ten (10) days after the Winner Notification is sent, such documents regarding eligibility, liability, advertising, promotion and publicity as Sponsor directs (including, but not limited to, an affidavit of eligibility and/or a release of liability/publicity).  A Winner’s Prize will be sent to the Winner within six (6) weeks after such verification.  If a winner fails to provide the required verification, a Winner Notification or a Prize is returned as undeliverable, or if a winner is found to be ineligible or not in compliance with the Official Rules, that winner will be disqualified, and the Prize may be awarded to an alternate winner in a separate random drawing. Only two (2) alternate winners may be determined through this process, after which the Prize may remain un-awarded.

If a winner is otherwise eligible under the Official Rules but is deemed a minor in his/her state of primary residence, the Prize will be awarded in the name of the winner's parent or legal guardian, who will be required to execute and return a minor release on the minor’s behalf.

PRIZE CONDITIONS: Prizes are not redeemable for cash. Prizes are not assignable or transferable. No substitution is permitted, except if a Prize is unavailable, in which case a prize of equal or greater value will be awarded. No cash in lieu of Prizes and no exchange or substitution of Prizes, except at the sole discretion of Sponsor.

Gift cards are not redeemable for cash and will not be replaced if lost or stolen. Gift card usage is subject to the issuing company’s complete terms and conditions, including expiration dates.

Prizes are awarded “as is” with no warranty or guarantee, either express or implied by Sponsor.  Winners acknowledge that Sponsor and all other businesses affiliated with the Sweepstakes and their agents do not make, nor are in any manner responsible for any warranty, representations, expressed or implied, in fact or in law, relative to the quality, conditions, fitness or merchantability of any aspect of the Prize being offered, except that each merchandise Prize shall be subject to its manufacturer’s standard warranty, if any. Once a Prize has been delivered to a Winner-provided address, the Prize is considered awarded.

A Winner is responsible for all federal, state, local and income taxes associated with winning a Prize.  A Winner is also responsible for any other costs or fees associated with the Prize, regardless of whether she/he uses the Prize.

Except where prohibited by law, entry and acceptance of a Prize constitutes permission to use the winner's name, Prize won, hometown, likeness, video tape, photographs, and statements for purposes of advertising, promotion and publicity (including online posting) in any and all media now or hereafter known, throughout the world, in perpetuity, without additional compensation, notification or permission.

GENERAL: Sweepstakes participants agree to the Official Rules and the decisions of Sponsor and release Meta, Sponsor and its affiliated companies, and all other businesses involved in a Sweepstakes, including Sponsor’s advertising and public relations agencies, as well as the employees, officers, directors and agents of each (the “Released Parties”), from all claims and liability relating to their participation in a Sweepstakes, and the acceptance and use/misuse of any Prize offered. Winners assume all liability for any injury or damage caused or claimed to be caused, by participation in a Sweepstakes or use/misuse or redemption of any Prize. Sponsor is not responsible for any typographical or other error in the printing of the offer, administration of the Sweepstakes or in the announcement of a Prize.  Sponsor’s database clock will be the official timekeeper for each Sweepstakes.

Sponsor reserves the right, in its sole and absolute discretion, at any time and for any reason to screen any entry. Any entry that Sponsor deems, in its sole and absolute discretion, to violate the terms and conditions set forth in the Official Rules is subject to disqualification. Sponsor reserves the right, in its sole and absolute discretion, at any time and for any reason, to request an entrant to modify, edit and/or re-submit his/her entry in order to ensure that it complies with the Official Rules, or for any other reason.  If such an action is necessary at any point during or after a Sweepstakes, then Sponsor reserves the right, in its sole discretion, to take whatever action it deems necessary based on the circumstances – including, without limitation, disqualifying the entry and the associated entrant.

Entry materials/data that have been tampered with or altered, or mass entries or entries generated by a script, macro or use of automated devices are void. The Released Parties are not responsible for: (i) lost, late, misdirected, damaged, incomplete or illegible entries; or (ii) error, omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of entry materials, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions of any kind, or inaccurate transmission of or failure to receive entry information by Sponsor on account of technical problems or traffic congestion on the Internet or at any web site or any combination thereof; or (iii) any injury or damage to entrant's or any other person's computer related to or resulting from participating in a Sweepstakes. By participating in a Sweepstakes, you (i) agree to be bound by the Official Rules, including all eligibility requirements, and (ii) agree to be bound by the decisions of Sponsor, which are final and binding in all matters relating to a Sweepstakes. Failure to comply with the Official Rules may result in disqualification from a Sweepstakes. Sponsor reserves the right to: (i) permanently disqualify from any Sweepstakes it sponsors any person it believes has intentionally violated the Official Rules; and (ii) withdraw a method of entry if it becomes technically corrupted (including if a computer virus or system malfunction inalterably impairs its ability to conduct the Sweepstakes). If for any reason a Sweepstakes is not capable of running as planned due to an infection by a computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Sponsor which corrupt or affect the administration, security, fairness, integrity, or proper conduct of the Sweepstakes, Sponsor reserves the right at its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the Sweepstakes, at which time, Sponsor will conduct a random drawing from among all eligible entries received at the time of the Sweepstakes termination.

LEGAL WARNING: ANY ATTEMPT BY AN INDIVIDUAL, WHETHER OR NOT AN ENTRANT, TO DAMAGE, DESTROY, TAMPER OR VANDALIZE THE INSTAGRAM OR FACEBOOK PAGE OR INTERFERE WITH THE OPERATION OF ANY SWEEPSTAKES, IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND DILIGENTLY PURSUE ALL REMEDIES AGAINST ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.

GOVERNING LAW AND LIMITATION OF LIABILITY:  All issues and questions concerning the construction, validity, interpretation and enforceability of the Official Rules or the rights and obligations of entrants, Sponsor or the Released Parties in connection with a Sweepstakes will be governed by and construed in accordance with the internal laws of the State of Tennessee, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other laws.

BY ENTERING A SWEEPSTAKES, ENTRANT AGREES THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW: (A) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE SWEEPSTAKES, OR ANY PRIZE AWARDED, WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (B) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED (IF ANY) NOT TO EXCEED TEN DOLLARS ($10.00), BUT IN NO EVENT WILL ATTORNEYS’ FEES BE AWARDED OR RECOVERABLE; (C) UNDER NO CIRCUMSTANCES WILL ANY ENTRANT BE PERMITTED TO OBTAIN ANY AWARD FOR, AND ENTRANT HEREBY KNOWINGLY AND EXPRESSLY WAIVES ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, LOST PROFITS AND/OR ANY OTHER DAMAGES, OTHER THAN ACTUAL OUT OF POCKET EXPENSES NOT TO EXCEED TEN DOLLARS ($10.00), AND/OR ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED; AND (D) ENTRANTS’ REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES (IF ANY) AND ENTRANT IRREVOCABLY WAIVES ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF.  SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY, SO THE ABOVE MAY NOT APPLY TO YOU.

DISPUTES:  Sweepstakes participants agree that all disputes arising out of or relating to any Sweepstakes will be finally settled only through arbitration; provided, however, the Released Parties shall be entitled to seek injunctive or equitable relief in the state and federal courts in Knox County, Tennessee and any other court with jurisdiction over the parties.  In arbitration, there is no judge or jury, and review is limited.  The arbitrator’s decision and award are final and binding, with limited exceptions, and judgment on the award may be entered in any court with jurisdiction.  Except as set forth above, any claim, suit, action or proceeding arising out of or relating to a Sweepstakes shall be resolved solely by binding arbitration before a sole arbitrator under the streamlined Arbitration Rules Procedures of JAMS Inc. (“JAMS”) or any successor to JAMS.  In the event JAMS is unwilling or unable to set a hearing date within fourteen (14) days of the filing of a “Demand for Arbitration,” then either party can elect to have the arbitration administered by the American Arbitration Association (“AAA”) or any other mutually agreeable arbitration administration service.  If an in-person hearing is required, then it will take place in Knox County, Tennessee. The federal or state law that applies to the Official Rules will also apply during the arbitration.  Disputes will be arbitrated only on an individual basis and will not be consolidated with any other proceedings that involve any claims or controversy of another party, including any class actions; provided, however, if for any reason any court or arbitrator holds that this restriction is unconscionable or unenforceable, then the agreement to arbitrate doesn’t apply, and the dispute must be brought in a court of competent jurisdiction in Knox County, Tennessee. Sponsor agrees to pay the administrative and arbitrator’s fees in order to conduct the arbitration (but specifically excluding any travel or other costs of an entrant to attend the arbitration hearing).  Either party may, notwithstanding this provision, bring qualifying claims in small claims court.
